User Agreement

LICENSE AGREEMENT FOR THE MBEX ONLINE CONSTRUCTION PLAN ROOM

This License Agreement for the MBEX Online Construction Plan Room (“Agreement”) is made by and between Midwest Builders Exchange (“MBEX,” “Company," "us," or "we") and you, the MBEX member company (“Licensee,” “you,” “your,” or “user”). This Agreement contains the terms and conditions that govern your access to and use of the MBEX digital online construction plan room and the Content (as defined below) thereof (collectively including the Content, the “Plan Room”).

By accessing, visiting, viewing, using, downloading from, or attempting to interact with the Plan Room or any of the Plan Room, you acknowledge that you have read, understand, and agree to be bound by this agreement. If you do not agree to be bounce by this agreement, do not access or use any part of the Plan Room.

MBEX reserves the right, from time to time, with or without notice to you, to make changes to this agreement in MBEX's sole discretion. Continued accessing, visiting, viewing, using, downloading from, or attempting to interact with the Plan Room or any part of the Plan Room constitutes your acceptance of such changes.

If you do not agree to the terms of this agreement, any changes to this agreement, or any additional terms (as defined below), your sole and exclusive remedy is to not access, visit, view, use, download from, or attempt to interact with the Plan Room, and if you object to this agreement, any changes to this agreement, or any additional terms and also wish to no longer be a member, you may terminate your membership and seek a pro-rated refund of your pre-paid membership fees for the unused portion of your then-current membership within thirty (30) calendar days after you are first presented with this agreement, the changes to this agreement, or the additional terms that you object to, as applicable. MBEX can refuse to provide a refund if you terminate your membership for any other reason, or if you do not give notice within that thirty (30) calendar day period.

IMPORTANT NOTICE: Section 12 of this agreement contains a binding dispute resolution through arbitration requirement and class action waiver as well as a waiver of trial by jury that may affect your legal rights. Please review Section 12 carefully as you are bound by its terms when you agree to this agreement.

Violation of this agreement shall constitute grounds for MBEX to --- among other things --- terminate this agreement as well as licensee's membership in MBEX.
